PanelPro Terms of Service

EFFECTIVE DATE: 23 JULY 2026  ·  PROVIDER: PANELPRO STUDIO ("WE", "US")

1. Acceptance

By creating an account, purchasing a subscription, or using PanelPro (the "Service", including the web application and cloud services), you agree to these Terms. If you use the Service on behalf of a company, you represent that you are authorised to bind that company, and "you" means that company.

2. The Service

PanelPro is a software tool for laying out electrical control panels, managing parts libraries, and producing drawings and bills of materials. The Service includes optional cloud features: organisation accounts, shared libraries, cloud projects, and a public parts catalogue.

3. Licence and accounts

We grant you a non-exclusive, non-transferable licence to use the Service for your internal business purposes during your subscription term. You are responsible for your account credentials and for the actions of users in your organisation. Seats are per named user; sharing one login between people is not permitted.

4. Your content

You retain all rights to the projects, drawings, part configurations, and files you create or upload ("Customer Content"). You grant us the limited rights needed to host, process, transmit, and display Customer Content solely to provide the Service.

Public catalogue. If you mark a library part as public, you grant every Service user a perpetual, worldwide, non-exclusive, royalty-free licence to view, copy into their own library, modify, and use that part (including its 3D model and configuration data) within the Service and in designs produced with the Service. You warrant that you have the right to publish any content you make public, including any third-party 3D models. Do not publish content you obtained under licence terms that forbid redistribution. We may remove or modify public catalogue entries (including via community review and moderation) at any time.

Paid plans are billed per user seat, monthly or annually in advance, via our payment processor. Fees are non-refundable except as required by law. We may change pricing with at least 30 days' notice, effective from your next renewal. Taxes (including GST where applicable) are additional unless stated otherwise. Trial periods convert to the free plan unless you subscribe.

7. Data, backups, and loss of information

Cloud data is stored with our hosting subprocessors and covered by reasonable technical safeguards. However, you are responsible for maintaining your own backups of Customer Content (the application can save projects and libraries locally at any time — use it). To the maximum extent permitted by law, we are not liable for any loss of, corruption of, or inability to access data, however caused, including through service outage, synchronisation error, account termination, or our fault or negligence. Following termination of a paid plan, we will make Customer Content available for export for at least 30 days.

To the maximum extent permitted by law, the Service is provided "as is" and "as available", without warranties of any kind, express or implied, including fitness for a particular purpose, accuracy, or uninterrupted or error-free operation.

Nothing in these Terms excludes, restricts, or modifies any consumer guarantee, right, or remedy under the Australian Consumer Law or other law that cannot lawfully be excluded. Where our liability for breach of a non-excludable guarantee can be limited, it is limited (at our option) to re-supplying the relevant services or paying the cost of having them re-supplied.

11. Acceptable use

You must not: reverse-engineer or resell the Service; upload malicious code; use the Service to infringe third-party rights; abuse the public catalogue (spam, deliberately false part data); or attempt to access other customers' data.

12. Suspension and termination

You may cancel at any time, effective at the end of the billing period. We may suspend or terminate accounts for material breach (including non-payment) with reasonable notice where practicable. Sections 4 (public catalogue licence), 5, 7, 8, 9, 10, and 14 survive termination.

13. Changes

We may update these Terms with reasonable notice (email or in-app). Continued use after the effective date constitutes acceptance. Material adverse changes to paid plans take effect from your next renewal.

14. General

These Terms are governed by the laws of Western Australia, Australia, and the parties submit to the exclusive jurisdiction of its courts. If a provision is unenforceable it is severed; the rest remains in force. These Terms are the entire agreement regarding the Service.
